Task
Parties from two countries: the client in Poland, the developers in Ukraine. The work had to be formalised so both sides were clear on who does what, how payment works and who owns the result.
What we paid attention to
- transfer of property rights to the code, design and documentation to the client;
- stages of work and acceptance certificates;
- confidentiality;
- governing law, language of the contract, currency and dispute resolution;
- making sure the contract describes a service and a result, not an employment relationship.
What we did
I drafted a software development services agreement for this model of cooperation. I set out separately from what moment the rights to the result pass to the client, and how acceptance certificates confirm it.
Result
The agreement is ready for signing, and both sides understand exactly what they're signing.
The takeaway
If you work with developers from another country, the contract should answer the questions about rights, money and disputes before the first payment. More: developer agreement and the article what to check so the code is yours.
