LLC registration in Lviv: what to decide before filing
Sole proprietor or LLC: where to start
The main difference isn't taxes, it's liability. A sole proprietor (FOP) is liable for debts with all their personal assets: flat, car, money on the card. An LLC is liable with what was put into the company. On your own with small risks? A FOP is simpler and cheaper. Partners, an investor or plans to grow? You need an LLC, because a partner's share can't legally exist in a FOP.
What to decide before registering an LLC
The registration itself takes 3–5 days. What deserves more thought is what comes before it. Activity codes (KVED) determine who you can work with. The tax system is also chosen in advance, and an LLC can be on the simplified single tax. The model articles are simple, but they know nothing about your partners or whether the director needs a salary.
Shareholder agreement between founders
Two friends open a business 60/40, and the one with 40% becomes director. A year later he disappears, and the partner with the bigger share can't even dispose of the company's cars. A shareholder agreement and properly drafted articles set out what to do in that situation while you're still friends.
Charitable foundations and company changes
I also register charitable foundations and file registration changes: a new member, a change of LLC director, address, activity codes, authorised capital. All of it can be done remotely, by power of attorney, even if you're abroad.
Once the company is registered, secure the name as a trademark and prepare contracts with clients and contractors. Foreign founder? See how to get a residence permit on the basis of a business.
