A verbal agreement is intentions, not a contract
A verbal agreement falls apart in three places. Money: “I thought that already included VAT.” Deadlines: “well, you knew it was approximate.” Scope: “that was never part of our deal.”
When it comes to court, it's not who's right that wins, but who has it in writing. The court reads the document, not your memory. So any agreement involving money or deadlines is worth putting in writing. Especially between friends.
What's included
- A conversation about the deal, the risks and what worries you.
- A contract from scratch for the way you work.
- Annexes: specifications, acceptance certificates, payment schedules.
- An explanation of every important clause in plain words.
- Edits after the first read.
The contracts I draft
| Contract | Who for |
|---|---|
| Services | Agencies, consultants, IT teams |
| Supply and sale | Manufacturers, distributors, shops |
| Works contract | Construction, renovation, manufacturing |
| Lease | Offices, premises, equipment |
| Agency and distribution | Selling through intermediaries |
| Cooperation agreement | Joint projects without setting up a company |
Why not a template
A template was written for someone else's deal, and most often in the interest of whoever drafted it. It doesn't know you take 50% upfront, that the goods come from China and the client is in Poland. A contract built for your model is shorter and clearer, because it has nothing extra in it.
How it works
Your part: the details of the deal and the parties' details. The rest of the arrows are mine.
Civil Code of Ukraine: Book Five (law of obligations), Articles 626–654 (general provisions on contracts); Commercial Code of Ukraine (commercial contracts).
Frequently asked questions about contract drafting
How much does it cost to draft a contract?
From €150. A complex contract with several annexes costs more.
How long does it take?
3–5 days for a typical contract.
Do you draft agreements in English?
Yes, in English or bilingual.
What if the other side wants its own edits?
I'll explain which edits are safe and which aren't. If the negotiation is tough, there's negotiation support.
Already have a contract from the other side? Then you need a contract review. Foreign partner? See cross-border contract.
